1. Acceptance of Terms
By accessing or using the services provided by Esseal, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
Esseal provides software engineering services, including full-stack development, legacy modernization, and the provision of in-house tools/packages. Specific project deliverables and timelines will be outlined in a separate Statement of Work (SOW) or Master Services Agreement (MSA).
3. Intellectual Property
Upon full payment for custom software development services, the intellectual property rights of the specific codebase developed for the client are transferred to the client, excluding any pre-existing Esseal proprietary tools, libraries, or open-source components utilized in the build.
4. Limitation of Liability
In no event shall Esseal, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential or punitive damages arising out of your use of our services.
5. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
